Understanding Franchise Territory Rights

Exclusive Territory

An exclusive territory means the franchisor cannot open another franchise location — or a company-owned unit — within your protected area. This is disclosed in Item 12 of the Franchise Disclosure Document. Exclusive territories typically reduce direct competition from the same brand and can increase your unit's long-term value.

However, "exclusive" doesn't always mean unlimited protection. Many FDDs include carve-outs for online sales, national accounts, or alternative distribution channels. Always read the fine print.

Non-Exclusive Territory

A non-exclusive territory means the franchisor retains the right to place additional franchise or company-owned units near your location. This is common in high-density, quick-service restaurant brands where market saturation is part of the growth strategy.

Non-exclusive doesn't automatically mean the franchisor will place units nearby — but they legally can. Evaluate how aggressively the brand has expanded in similar markets before signing.
